1. Acceptance of Terms

By accessing and using the services provided by Kodex Group Limited ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement.

If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Kodex Group Limited provides technology solutions and software development services including:

  • Web application development
  • Mobile application development
  • Custom software development
  • System improvement and upgrades
  • Database design and management
  • AI and automation solutions
  • Consulting and technical advisory services

3. User Responsibilities

As a user of our services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Use our services in compliance with applicable laws
  • Not engage in any illegal or unauthorized activities
  • Respect intellectual property rights
  • Not attempt to gain unauthorized access to our systems

4. Service Level Agreement

4.1 Availability

We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted service and may experience downtime for maintenance, updates, or unforeseen circumstances.

4.2 Support

We provide technical support during business hours (Monday to Friday, 9 AM to 5 PM EAT). Emergency support may be available for critical issues.

5. Payment Terms

5.1 Pricing

Service pricing is provided in project proposals and contracts. Prices are subject to change with 30 days' notice for ongoing services.

5.2 Payment Schedule

  • Projects: 30% upfront, 30% mid-way, 40% upon completion
  • Ongoing services: Monthly billing
  • Consultations: Free of charge

5.3 Late Payments

Late payments may incur additional fees and may result in service suspension until payment is received.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients own the intellectual property rights to custom software and solutions developed specifically for them.

6.2 Company Rights

We retain rights to our proprietary methodologies, frameworks, and general knowledge gained through project execution.

7. Confidentiality

We maintain strict confidentiality regarding client information, business processes, and proprietary data. All team members sign confidentiality agreements and are bound by professional secrecy obligations.

8. Limitation of Liability

To the maximum extent permitted by law, Kodex Group Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

9. Warranty and Disclaimers

We provide services using professional standards and best practices. However, we make no warranties regarding:

  • Uninterrupted or error-free service
  • Compatibility with all systems or third-party software
  • Results or outcomes of implemented solutions
  • Compliance with future regulatory changes

10. Termination

10.1 Termination by Client

Clients may terminate services with 30 days' written notice. Payment for completed work and any outstanding invoices remains due.

10.2 Termination by Company

We may terminate services immediately for breach of terms, non-payment, or illegal activities.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Tanzania. Any disputes shall be resolved through binding arbitration or in the courts of Tanzania.

12. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of modified terms.
